Our team is looking for a Corporate Paralegal to join a Pittsburgh-based Manufacturer with a growing legal team. This role will report to senior-level attorneys and cover corporate governance matters on a global scale, corporate transactions, and data management.

Key Responsibilities:

• Manage global entity governance, including maintaining governance matters for international legal entities.
• Support the formation, dissolution, and restructuring of legal entities; coordinate annual reports and regulatory filings.
• Oversee outside counsel for subsidiary governance matters; manage director and officer slates.
• Assist with corporate transactions such as mergers and acquisitions, financial matters, and securities requirements.
• Prepare Board and Board Committee agendas and meeting packages.
• Create and implement governance best practices; draft and update Board and Committee charters; maintain corporate governance documents and policies.
• Prepare minutes, resolutions, and written consents for Board Committees; maintain corporate minute books.

Requirements:

• Bachelor's degree or paralegal certification.
• Minimum of 8 years of experience as a Paralegal; preferred experience in a public company.
• Strong proficiency in Microsoft Suite.
• Ability to work independently and manage multiple projects in a fast-paced environment.
• Excellent written and oral communication skills, with a creative approach to problem-solving.
