LHH has an immediate opening for an experienced Corporate Paralegal in downtown Orlando. The ideal candidate will have at least five years of recent experience in a law firm or corporate legal department. The supervising attorneys manage a wide range of corporate matters for businesses of all sizes. LHH represents clients across various industries, including real estate, banking, manufacturing, technology, retail, tourism, healthcare, and more. Salary will be commensurate with experience.

Duties and Responsibilities:

• Assist with entity formations for both business and non-profit corporations in any state, corporate governance, and the maintenance of corporate records.
• Qualify entities to conduct business in other states and process necessary certificates and lien/judgment searches promptly for closings.
• Prepare and file corporate documents such as partnership agreements, operating agreements, and corporate bylaws.
• Prepare and file annual reports for clients in Florida and other states.
• Experience with business sales, acquisitions, asset purchases, stock transactions, and related agreements.
• Conduct UCC searches and filings.
• Assist with securities compliance, including drafting and filing Form Ds with the SEC and state Blue Sky filings.
• Support attorneys with corporate documentation for mergers, acquisitions, real estate, and securities transactions.
• Manage intellectual property filings, including trademarks and copyrights.
• Aid in the preparation of documentation for amendments, withdrawals, mergers, and dissolutions of corporations, partnerships, and LLCs.
• Coordinate closing checklists, signature pages, and closing binders.
• Liaise with state and federal agencies regarding corporate filings and compliance.
• Perform legal research and prepare summaries as needed.

Other Skills and Abilities:

• Strong knowledge of corporate governance, M&A transactions, securities regulations, and intellectual property matters.
• Proficiency in preparing and filing corporate documents and managing the closing process.
• Experience with conducting legal research and working with UCC filings.
• Excellent organizational skills, attention to detail, and the ability to manage multiple deadlines.
• Strong written and verbal communication skills.
• Exceptional communication skills and an ability to collaborate effectively with clients, attorneys, and staff.
• Outstanding work ethic, deadline-oriented, adaptable, and able to work nights or weekends occasionally when necessary.
• Proficient with Lexis Nexis for legal research, ATO and iManage for practice management, as well as Outlook, Excel, Word, and Adobe.
• Ability to work with multiple attorneys and prioritize workload, including tasks for a dedicated client.
• Ability to work independently with strong self-motivation and attention to detail.

Education and Experience:

• Bachelor’s degree or a paralegal certificate or equivalent (Preferred).
