The Associate Counsel serves as a crucial resource for both the business lines and other service providers within the organization
This attorney will need to have general experience and a strong drive to learn
The role requires a strong ability to independently learn, research, and opine on a wide variety of matters, and the ability to provide advice that addresses business needs while ensuring regulatory compliance
Job Responsibilities: Support day-to-day legal needs of the organization
Research and advise on federal and state laws affecting the operation of the Bank, including, but not limited to: federal and state banking law, lending and secured transactions, creditors’ rights/loan workout, consumer compliance regulations, bank deposit account issues, vendor contracts, Uniform Commercial Code, employment law, real estate law, trusts and estates, and litigation
Support the Corporate Secretary Function by drafting board resolutions, taking minutes, etc
Provide corporate governance support
Assist with corporate policy and procedure drafting, support and administration
Facilitate positive and effective partnerships across all business lines and help educate business partners on the Legal Department’s role throughout the organization
Other duties as assigned
Minimum Requirements: Juris Doctorate from an accredited law school required
Must be licensed in Delaware, Pennsylvania and/or New Jersey
Three (3) to Six (6) years of legal experience required (not including clerkships)
Experience in financial services industry preferred
Must have a strong research, writing, and analytical skills with exceptional attention to detail
Must have the ability to multitask and meet deadlines
Must have excellent communication and interpersonal skills, with the ability to explain complex legal issues to non-lawyers
Must have a strong computer skills specifically with Microsoft products, Adobe Professional, and ability to learn and navigate new systems with ease
Must have a strong analytical and organizational skills with a proven ability to handle multiple tasks and prioritize work in a deadline-intensive environment
Must have excellent communication abilities with individuals at all levels
Must have strong interpersonal and teamwork skills and ability to influence through collaboration
Must uphold and value a high sense of honesty, integrity, and confidentiality
